Terms and Conditions

Please make sure that you have read and understood the Rules (attached hereto as Annex A) and the Terms and Conditions below.

These general Terms and Conditions and Rules of Northcliff Karate Academy read with the above information forms an agreement (the “Agreement”) between the client identified above (“you” or “your”) and Northcliff Karate Academy any reference to the “parties” is reference to you and Northcliff Karate Academy management, collectively and any reference to a “party” is to either you or Northcliff Karate Academy, respectively.

Northcliff Karate Academy reserves the right to amend, change or replace any of these Terms and Conditions or the Rules (the “amendments”) of Northcliff Karate Academy at any time with or without notice of changes and you agree to be bound by the amendments within reason.

1. Fees and Payments

You agree to pay Northcliff Karate Academy for the amount of fees owing by you to Northcliff Karate Academy as indicated above. If you have made any other arrangement with Northcliff Karate Academy to pay the fees owing by yourself, the said fees must be paid within 1 month of signing this Agreement. All fees are due and payable on the FIRST of the month in advance. Northcliff Karate Academy reserves the right to charge late payment fees for any fees paid later than the 7th of the month, unless prior arrangements have been made for late payment of fees.

Northcliff Karate Academy may in its discretion increase or decrease the fees at any time whilst this Agreement is in force. If Northcliff Karate Academy decides to increase the fees it will give you 1 months’ notice, where thereafter it will invoice you for any amount outstanding due to the increase and in the case you have made another arrangement for payments of fees, you will be obliged to pay such outstanding amount due to the increase at the end of the 1 months’ notice period.

Northcliff Karate Academy reserves the right to accept or deny or impose additional terms and conditions if you wish to pay your fees pursuant to another arrangement.

1. Termination/Suspension

Northcliff Karate Academy shall be entitled, if it decides to do so, to immediately suspend your membership of Northcliff Karate Academy until such time as the breach has been remedied to the satisfaction of Northcliff Karate Academy, or to terminate this Agreement immediately. Whichever remedy Northcliff Karate Academy may select, it may still claim damages against you and exercise any rights against you which it has in law. Northcliff Karate Academy has no obligation to notify you in advance of the remedy which it may choose.

Northcliff Karate Academy reserves the right to terminate/suspend/freeze this Agreement at any time for any of, but not limited to the following:

• if you breach any terms or conditions of this Agreement or the Rules of Northcliff Karate Academy;
• if you act or conduct yourself in a manner (which includes actions and words) that in the reasonable opinion of Northcliff Karate Academy is considered to be inappropriate and would cause any reputational or other harm to Northcliff Karate Academy or any of its members;
• if you fail to pay your fees in accordance with these Terms and Conditions;
• if you request for this Agreement to be suspended/frozen, which suspension must be for a valid reason and it will be in the discretion of Northcliff Karate Academy to grant such suspension. Note: You cannot suspended/freeze your contract over January, April or December;
• for any other reason that may in the opinion of Northcliff Karate Academy be considered a reason for terminating this Agreement.

You will be entitled to terminate your membership at Northcliff Karate Academy when one full calendar months’ notice is given to Northcliff Karate Academy in writing. You will be entitled to suspend your membership with Northcliff Karate Academy for any of the following reasons:

• if you are relocating outside of Johannesburg; or
• as a result of a serious injury, illness or surgery; or
• for any other reasons that may be considered in the opinion of the management of Northcliff Karate Academy to be a reasonable reason.
• After your initial 3 month “no excuses” period of signing this contract.

If You or Northcliff Karate Academy terminates this Agreement for any of the above mentioned reasons you will not be entitled to a refund of your fees and your access to Northcliff Karate Academy will terminate immediately.

Once this Agreement has been terminated you undertake to remove any affiliation with Northcliff Karate Academy from any public domain or forum which includes, but is not limited to Facebook and twitter.

Please Note: We have a 3 month “No excuses” period. This means that you may not give notice of cancellation of this contract with Northcliff Karate Academy within the first 3 months of signing this contract. We hold all students to this so that we can ensure you the better results and set up for students benefit.

2. Indemnity:

You acknowledge and accept that you become a member of Northcliff Karate Academy and use Northcliff Karate Academy services, equipment and facilities ("the use") entirely at your own risk. It is your responsibility to determine whether medical clearance is required to participate in classes at Northcliff Karate Academy and your failure to do so will be at your own risk and failure to do so could result in serious injury or death. You agree that you shall have no claim against Northcliff Karate Academy, its Instructors, employees, subcontractors, agents, representatives, consultants, licensees and/or licensors ("Northcliff Karate Academy associates") for any loss, damage, harm, injury, death and/or expense which may be suffered by you or by any third party, from any cause whatsoever, howsoever arising (excluding gross negligence), in connection with your membership and the use of the Northcliff Karate Academy premises, equipment and services. Damages shall include direct, indirect, general, special, incidental, punitive and consequential damages.

You also acknowledge and accept that Northcliff Karate Academy and the Northcliff Karate Academy associates have made no representations in regard to any of their competencies or in regard to the safety and/or quality of any of the equipment supplied or used by Northcliff Karate Academy in connection with your Northcliff Karate Academy membership and/or the use. You waive any common law warranties which may be applicable in respect of Northcliff Karate Academy’s supply of its services, equipment and facilities.

These provisions are binding on your estate, heirs, executors, administrators, parents and/or guardians.

3. Personal information and no liability:

Northcliff Karate Academy recognises that you wish your personal information to remain private. Northcliff Karate Academy will not wilfully disclose personally identifiable information to any party other than to a health insurer, life insurer, medical insurer, medical aid scheme, health care management company and/or any loyalty/reward programme associated with any of the foregoing, with which you and Northcliff Karate Academy each have a contractual relationship (the Corporate), (and only if there is such an arrangement between Northcliff Karate Academy and the Corporate allowing this information to be transferred). You hereby authorise Northcliff Karate Academy to: 

• make your personal data available in terms of this clause; 
• collect, collate and process your personal data; 
• use your personal data for statistical, research and related purposes and 
• provide third parties with your data, once it has been depersonalised so that it is not linked to you, for statistical, research and related purposes.

Whilst Northcliff Karate Academy will take all reasonable steps to ensure and maintain the security and privacy of your personal information, you acknowledge that maintaining complete security and privacy of your personal information is not possible and you agree that you will have no claims against Northcliff Karate Academy in the event of a failure of security or privacy.

Should your relationship with the Corporate terminate, it is your responsibility to advise Northcliff Karate Academy, so that Northcliff Karate Academy can remove your personal information from the data provided to the Corporate

You acknowledge that:

• the fact, nature and effect of all the clauses that pertain to risk or liability, as indicated in bold, have been drawn to your attention and that you have had adequate opportunity to read and understand the terms and conditions and that you understand and agree to be bound by them.
• the above information is to the best of your knowledge true and correct:
• to inform Northcliff Karate Academy if any of the above information changes;
• to abide by these Terms and Conditions and the Rules at all times
